These Terms & Conditions ("Terms") govern your access to and use of TooHR (the "Service"), a software product operated by DIGYUG LLP ("we", "us", "our"). By creating a workspace or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
TooHR is a cloud-based recruitment CRM and HRMS provided on a subscription basis to talent-acquisition agencies and their teams. We may update, improve or modify features of the Service from time to time.
2. Accounts & eligibility
You must provide accurate registration information and are responsible for maintaining the confidentiality of your login credentials and for all activity under your workspace. You must be authorised to bind your organisation to these Terms. You are responsible for the conduct of every user you invite to your workspace.
3. Subscriptions, plans & billing
- The Service is free to use for up to 10 active users per workspace.
- Adding a fifth active user or more requires an upgrade to a paid plan, billed at ₹99 per active user per month.
- Paid subscriptions are billed monthly in advance. Payments are processed securely through our payment gateway, Razorpay.
- All fees are stated in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise.

4. Acceptable use
You agree not to misuse the Service, including by: uploading unlawful, infringing or malicious content; attempting to gain unauthorised access to the Service or other workspaces; reverse-engineering the Service; or using it to send unsolicited communications in violation of applicable law. You are responsible for ensuring that your use of candidate and client data complies with applicable data-protection laws.
5. Your data
You retain ownership of the data you submit to the Service ("Customer Data"). You grant us a limited licence to host and process Customer Data solely to provide and support the Service. Our handling of personal information is described in our Privacy Policy.
6. Intellectual property
The Service, including its software, design and trademarks, is owned by DIGYUG LLP and its licensors. These Terms grant you no rights in our intellectual property other than the right to use the Service in accordance with these Terms.
7. Service availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted access. The Service is provided on an "as is" and "as available" basis, and we may perform maintenance that temporarily limits availability.
8. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees when due, or use the Service in a way that risks harm to us or other users. On termination, your right to use the Service ends; export your data before closing your account.
9. Limitation of liability
To the maximum extent permitted by law, DIGYUG LLP shall not be liable for any indirect, incidental or consequential damages, or for loss of profits or data. Our total liability arising out of or relating to the Service shall not exceed the amounts you paid to us for the Service in the three (3) months preceding the claim.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
11. Governing law
These Terms are governed by the laws of India, and the courts at Thane, Maharashtra shall have exclusive jurisdiction over any disputes arising from them.
